Terms of Service
Effective October 22, 2026
These Terms apply to workspaces you create yourself on saleringo.com. They are an agreement between you and Honest Marketing Co., Ltd. ((주)어니스트마케팅), the company that provides Saleringo.
If you have signed an order form or a master agreement with us, that signed document controls wherever it differs from these Terms.
1. About these Terms
- Honest Marketing Co., Ltd. ((주)어니스트마케팅) ("Saleringo", "we", "us") provides an AI phone assistant and related tools (the "Service"). "You" means the business or person that creates a workspace and the people it invites.
- By creating a workspace, checking the agreement box, or using the Service, you accept these Terms. If you accept on behalf of a company, you confirm that you have authority to bind it.
- The Service is for business and professional use. It is not offered for personal, family or household use.
- Our Privacy Policy explains how personal information is handled. It forms part of these Terms.
2. The Service
The Service answers inbound phone calls to the number assigned to your workspace, using the information you provide (your knowledge base, greeting and rules). It can answer questions, take messages, record the details a caller chooses to share, and connect callers to a person if you add a transfer number. A web dashboard lets you review conversations, callback requests and customers, edit your knowledge base and manage your team. Email notices are sent for events such as callback requests.
- The assistant currently converses in English and Japanese, and the dashboard is in English.
- Phone numbers are currently offered in the United States and Canada. Japanese numbers require business documents (see Section 7).
- The Service handles inbound calls only. It does not place outbound calls, marketing calls or text messages.
- We may add, change or remove features. We will give reasonable notice before a change that materially reduces what a paid plan includes.
3. Your account
- You must be at least 18 years old and able to enter into a binding contract.
- Give us accurate information and keep it up to date.
- Keep your login details confidential. You are responsible for everything done under your account, including by people you invite. Tell us promptly at the address in Section 22 if you suspect unauthorized use.
- We may refuse or end an account that contains false information or that we reasonably believe puts the Service or others at risk.
4. Free trial
A new workspace includes a free trial with an allowance of 30 call minutes. No payment card is needed to start. Call minutes are counted as described in Section 5. When the allowance is used up, your assistant stops answering calls until you choose a plan. The trial never converts into a paid plan on its own, and we will not charge you unless you choose a plan and complete checkout.
You can set up and test your assistant during the trial, and we may lend you a shared test phone number so you can try it by phone (Section 7). A phone number of your own is provided with a paid plan (Section 7). We may limit the trial to one per business and may end a trial that is being abused.
5. Plans, fees and payment
- Paid plans are monthly subscriptions that include a number of call minutes. Minutes beyond the included amount are charged at the per-minute rate shown for your plan. Current plans and prices are shown on the Plan & usage page and at checkout, in US dollars.
- The monthly subscription fee is charged in advance each month. Usage beyond the included minutes is taken from your prepaid balance if you have one (see below), and otherwise is added to your next invoice. Payments are processed by Stripe; we do not store your full card number.
- Call minutes are counted per call and rounded up to the next full minute. Calls shorter than a few seconds are not counted. A call counts from the moment your assistant answers until it ends.
- Prices exclude taxes. Where the law requires us to collect sales tax, VAT, GST or a similar tax, we will add it.
- We may change prices or plan contents. We will tell you at least 30 days before a change takes effect, and it applies from your next billing period. You can cancel before then.
- If a payment fails we may retry it and notify you. If it remains unpaid we may suspend the Service (your assistant stops answering calls) and end the subscription.
- You can switch plans from the dashboard. The change is prorated by our payment processor.
- Prepaid balance. On an active paid plan you can add funds to a prepaid balance from the Plan & usage page. After your included minutes are used, extra call minutes are deducted from the balance at your plan's per-minute rate instead of being billed at the end of the billing period. If the balance is empty or lower than the price of one minute, those minutes are billed to your payment method at the same rate. Funds expire 12 months after purchase (the oldest funds are used first), are non-refundable except where the law requires it, have no cash value and cannot be transferred.
- Auto top-up. If you turn on auto top-up, you authorize us to charge the card on file for the amount you selected each time your available minutes fall to the threshold you set, up to the monthly limit you set, until you turn it off on the Plan & usage page. We add the amount to your prepaid balance and email you a receipt for each charge. If a payment fails we may retry it a limited number of times and then turn auto top-up off. You can change or turn off auto top-up at any time; a change applies to later charges. Auto top-up does not run while your subscription is past due or set to end.
- Usage alerts. We email the account owner when 10%, 5% and 0% of your call minutes are left in a billing period. Alerts are a courtesy: they may be delayed or may not arrive, and you remain responsible for usage charges.
6. Cancellation and refunds
- You may cancel at any time from the Plan & usage page (Manage payment method & invoices). The subscription then ends at the end of the period you have already paid for, and you keep access until then.
- If you ask for a refund within 7 days of your first payment and your assistant has not answered any calls on the paid plan, we will refund that payment in full.
- Otherwise fees are non-refundable, except where the law requires it. If we are unable to provide the Service for a period for reasons within our control, we will credit or refund the affected period on a pro-rata basis.
- If you think an invoice is wrong, tell us within 30 days of the invoice date and we will review it promptly.
7. Phone numbers
- One phone number is included with a paid plan. Numbers are obtained through our telephony provider and remain in our account. While you are subscribed you have the right to use the number for the Service. You do not own it, and we do not currently offer transferring (porting) a number to another provider.
- During the free trial we may lend you a shared test number so you can try your assistant by phone. A test number belongs to us and is shared with other trial workspaces over time. Calls to it use your trial minutes. We take it back when your trial minutes are used up, after 14 days without calls, or when you get a number of your own, and we do not promise that you can get the same test number again. Do not publish or advertise a test number as your business line.
- If your plan ends, your assistant stops answering calls. We hold your number for 14 days and email you before it is released. If you choose a plan again within that period, you keep the number. After that period the number is released, and we cannot promise you can get the same number back.
- Some countries require business documents and regulatory approval before a number can be activated. Approval timing is outside our control. For those countries we assist you instead of issuing a number instantly.
- We may reclaim a number that is used in breach of these Terms or of the rules of our telephony provider.
- Individual calls may be ended automatically after a maximum length (currently 10 minutes).
8. Your responsibilities
- Knowledge base: you provide the information your assistant relies on. Keep it accurate and current, and review your conversations regularly. You are responsible for what your assistant tells callers on your behalf.
- Notices and consents: you are responsible for any notice or consent that the law requires for calls handled by your assistant. This can include telling callers they are speaking with an automated assistant, and rules on recording or transcribing calls, which in some places require every party's consent. You can edit your greeting to include such statements. If you turn on the optional call recording setting, your callers hear a short recording notice at the start of every recorded call, but you remain responsible for any further notice or consent that the law requires. Recordings are kept for 30 days and then deleted.
- Privacy law: you act as the business that decides why and how your callers' personal information is used. You must handle it lawfully and give any required notices.
- Emergencies: the Service is not an emergency service and must not be relied on for emergencies. Do not use it to take emergency calls.
- Sensitive data: the Service is not designed to process protected health information, payment card numbers, government identification numbers or similar regulated data. Do not put such data in your knowledge base or ask callers to provide it, unless we have agreed otherwise in writing.
- Acceptable use: do not use the Service to break the law, to harass, defraud or mislead people, to impersonate others, to send spam or make unsolicited calls, to infringe others' rights, to probe or disrupt the Service, or to reverse engineer it.
9. AI-generated output
The assistant is powered by artificial intelligence. It can be wrong, incomplete or misunderstand a caller, and it can mis-transcribe speech. Its output is not professional advice. We do not guarantee any result such as bookings, sales or lead capture. You remain responsible for your business's communications and decisions.
10. Your content and data
- You keep all rights in your content (your knowledge base, greetings, rules and customer records) and in the information your callers give your assistant ("Your Data").
- You give us a non-exclusive licence to host, process, transmit and display Your Data to provide, secure, support and improve the Service, and to comply with law. We do not use Your Data to train AI models for other customers.
- We may use aggregated, de-identified statistics to operate and improve the Service.
- Where we process your callers' personal information on your behalf, we do so on your instructions as your service provider (processor). A data processing addendum is available on request.
- You can export or delete Your Data in the dashboard, or ask us to help. After your subscription ends, see Section 13.
11. Third-party services
The Service relies on third-party providers for hosting, database, telephony, payments, email and AI processing. They are listed in the Privacy Policy. An outage, change or termination by a provider can limit or interrupt the Service, and we are not responsible for it beyond our obligations in these Terms. Some provider rules, such as telephony acceptable-use rules, apply to you as well.
12. Availability and support
We work to keep the Service available but do not promise uninterrupted or error-free operation, and there is no service level agreement unless we sign one with you. We may perform maintenance and will try to give notice for planned work. Support is provided by email on a reasonable-efforts basis.
13. Suspension, termination and data after termination
- You may stop using the Service and cancel at any time (Section 6).
- We may suspend or end your access immediately if you breach these Terms, if payment is overdue, if you use the Service unlawfully or in a way that harms others or the Service, or if we are required to by law or by a provider. Where practical we will notify you first.
- After the subscription ends we keep Your Data for 30 days so that you can export it or come back. We email you a reminder before the 30 days end, and then we delete it, normally within a week after that. The exceptions are records we must keep by law (for example invoices and payment records), our record of your agreement to these Terms and the Privacy Policy, and backups, which are overwritten on their normal cycle.
- If you have never subscribed and your account has not been used for 180 days (no sign-in by you and no activity from your customers), we may delete the account and its data, after emailing you a reminder at least 30 days earlier. Sign-ups whose email address is not confirmed within 7 days are deleted.
- Sections that by their nature should survive termination will survive, including Sections 10, 14 to 18 and 21.
14. Intellectual property
We and our licensors own the Service, including the software, models we build, designs and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes under these Terms. You may not copy, resell, sublicense or create derivative works of the Service. If you give us feedback, we may use it without restriction.
15. Confidentiality
Each of us will keep the other's non-public business information confidential, use it only for the purposes of these Terms, and disclose it only to people who need it and are bound to keep it confidential, or where the law requires. This does not cover information that is public, independently developed, or lawfully received from someone else without a restriction.
16. Disclaimer
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will meet your requirements or that your assistant will answer every call or answer correctly.
17. Limitation of liability
- To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, data, goodwill, or for missed, mishandled or mis-transcribed calls and lost leads.
- Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the fees you paid us in the three months before the event that gave rise to the claim, or USD 100 if you have paid us nothing.
- Nothing in these Terms limits liability that cannot be limited by law, including for fraud, willful misconduct or gross negligence.
18. Indemnity
You will defend and indemnify us against claims, losses and costs (including reasonable legal fees) brought by third parties, including your callers and regulators, arising from Your Data, your instructions to the assistant, your breach of these Terms, or your failure to give notices or obtain consents required by law.
19. Events beyond our control
Neither of us is liable for a failure or delay caused by events beyond reasonable control, such as natural disasters, war, labour disputes, government action, power or network failures, or the failure of a telecom or cloud provider. This does not excuse payment obligations.
20. Changes to these Terms
We may update these Terms. For material changes we will notify you by email or in the dashboard at least 30 days before they take effect. If you do not agree, you can cancel before the change takes effect; continuing to use the Service afterwards means you accept the updated Terms.
21. Governing law and disputes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law rules. We will first try to resolve any dispute in good faith by discussion. If that does not succeed, the Seoul Central District Court has exclusive jurisdiction in the first instance. Mandatory rights that you have under the law of your country are not affected.
22. General and contact
- Entire agreement: these Terms, the Privacy Policy and any signed order form are the whole agreement between us about the Service.
- Assignment: you may not transfer these Terms without our written consent. We may transfer them in a merger, sale of the business or similar transaction.
- Severability and waiver: if a provision is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
- Notices: we may notify you by email to the address on your account or in the dashboard. You may notify us at the address below.
- Language: this English version applies to workspaces created through the English service. Translations are provided for convenience.
